Terms of Service

Please read these Terms of Service ("Terms") carefully before using TamarindPay. By creating an account or using any part of the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using TamarindPay ("the Service"), you confirm that:
- You are at least 18 years of age
- You have the legal authority to enter into this agreement on behalf of yourself or your business
- You have read and agree to these Terms and our Privacy Policy
2. Description of Service
TamarindPay is a cloud-based invoicing and business management platform that allows users to:
- Create, send, and manage invoices and quotes
- Manage client records and billing history
- Track payments and outstanding balances
- Generate financial reports including VAT summaries
- Store and manage a product and services catalog
- Accept online payments via Stripe, PayPal, SunCash, and wire transfer
We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice.
3. Account Registration
- You must provide accurate and complete information when registering
- You are responsible for maintaining the confidentiality of your password
- You are responsible for all activity that occurs under your account
- You must notify us immediately at support@tamarindpay.com if you suspect unauthorised access
- One account per business entity — you may not share accounts between separate businesses
4. Acceptable Use
You agree to use TamarindPay only for lawful business purposes. You must not:
- Use the Service for any illegal purpose or in violation of Bahamian law
- Create invoices or quotes for fraudulent transactions
- Upload malicious files, scripts, or attempt to breach system security
- Attempt to access other users' accounts or data
- Use the Service to send unsolicited commercial email (spam)
- Reverse engineer, decompile, or attempt to extract source code
- Resell, sublicense, or commercially exploit the Service without written permission
- Impersonate another person or business on invoices or quotes
Important — Financial Compliance
TamarindPay is a tool to assist with your business administration. It does not constitute accounting, tax, or legal advice. You remain solely responsible for the accuracy of your invoices, VAT calculations, and compliance with all applicable Bahamian tax laws including the Value Added Tax Act 2014.
5. Your Data & Content
You retain full ownership of all data you enter into TamarindPay, including client information, invoice content, and financial records.
By using the Service, you grant us a limited licence to store, process, and display your data solely for the purpose of providing the Service to you.
You are responsible for ensuring you have the legal right to store and process your clients' personal information in accordance with the Bahamas Data Protection Act 2003.
6. Plans, Pricing & Payment
- Free plan features and limits are as described on the Billing page
- Paid plans are billed monthly in USD unless otherwise agreed
- Plan prices may change with 30 days written notice via email
- Refunds are not provided for partial months of service
- Failure to pay may result in account downgrade or suspension
- We reserve the right to modify plan features and limits with reasonable notice
7. Service Availability
We aim to maintain 99% uptime but do not guarantee uninterrupted availability. The Service may experience occasional maintenance windows.
We will provide reasonable notice of planned maintenance where possible.
Data Backup
While we take reasonable precautions to protect your data, you are encouraged to periodically export your invoices and client data as a backup. We cannot guarantee recovery of data in the event of a catastrophic hosting failure.
8. Intellectual Property
TamarindPay, its logo, interface design, and underlying code are protected by applicable intellectual property laws. You may not copy, modify, or distribute any part of the Service without express written permission.
Your business name, logo, and invoice content remain your intellectual property.
9. Limitation of Liability
To the maximum extent permitted by Bahamian law:
- TamarindPay is provided "as is" without warranties of any kind
- We are not liable for any loss of data, revenue, profits, or business resulting from use of the Service
- Our total liability to you in any 12-month period shall not exceed the amount you paid for the Service in that period
- We are not responsible for errors in VAT calculations resulting from incorrect data you enter
- We are not responsible for invoices sent to incorrect email addresses due to data entry errors
10. Indemnification
You agree to indemnify and hold TamarindPay harmless from any claims, losses, or damages arising from:
- Your violation of these Terms
- Your use of the Service in an unlawful manner
- Any content you create, store, or transmit through the Service
- Your failure to comply with applicable data protection laws regarding your clients' data
11. Termination
Either party may terminate the agreement at any time:
- By you: Submit a data deletion request in Settings or email us. Your account and data will be deleted within 30 days.
- By us: We may suspend or terminate accounts that violate these Terms, with or without prior notice depending on severity.
Upon termination, your right to access the Service ceases immediately. Export any data you need before requesting deletion.
12. Governing Law & Disputes
These Terms are governed by the laws of The Commonwealth of The Bahamas. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of The Bahamas.
We encourage you to contact us first to resolve any disputes informally at support@tamarindpay.com.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
